The entire sports branch of Ternana Calcio S.r.l. (hereinafter "Ternana"), composed of multi-year rights to the performance of football players, structure and organization of the youth sector, tangible and intangible assets, and registered trademark. In particular, the business branch includes: - Trademark and related rights (social media profiles, website, etc.); - Multi-year rights to the performance of football players; - "Human capital" of the youth sector; - Sports facilities and equipment; - Furniture and furnishings; - Electronic machines; - Sports clothing, linens, bags, balls, trophies, and photographs; - Agreement for the use of the Stadium with the concession company for a duration of one year, with effects starting from 01.07.2026 until 30.06.2027, considering that the agreement for the stadium use with the concessionaire is currently pending and the concession will expire on 30.06.2026; - Active and passive concession contracts, real estate lease agreements for structures and facilities used for sports activities; - Service and professional contracts related to sports management; - Employment relationships with registered and non-registered individuals; - RAI archive; - Credits towards the League and sports companies.
